Sociedad Anónima: perspectiva histórica y actual

Abstract

La Sociedad Anónima se trata de una sociedad mercantil regulada por la LSC y caracterizada por tener responsabilidad limitada y el capital social dividido en acciones. El capital tiene que ser, como mínimo, de 60.000€, por lo que han de ostentar esta modalidad empresarial aquellas sociedades en un tamaño elevado. En España, son Sociedades Anónimas menos del 5% del total, siendo la mayoría Sociedades Limitadas, debido a que sus condiciones se ajustan mejor a empresas de menor tamaño. Aunque hace años la Sociedad Anónima era más común que la Sociedad Limitada, las reformas legales que se han llevado a cabo han invertido el orden, pues se ha optado por dar más facilidades a las Sociedades Limitadas, tal y como ha ocurrido con la “Ley Crea y Crece”, es decir, la ley 18/2022, de 28 de septiembre
