Abstract

En el presente trabajo, se llevará a cabo un estudio sobre la novedosa Ley 18/2022, de 28 de septiembre, de Creación y Crecimiento de Empresas, o también conocida como la “Ley Crea y Crece”, veremos las presentes y diversas modificaciones que ha traído para intentar impulsar la creación de empresas, facilitando y eliminando las trabas económicas y burocráticas y creando un marco de seguridad mayor contra la morosidad. Antes de entrar en materia de la “Ley Crea y Crece” veremos el capital social, la valiosa función que cumple, así como sus principios, siendo el capital mínimo un pilar importantísimo de una de las nuevas modificaciones que trae consigo la Ley 18/2022. Se desgranará y se hará hincapié en las actualizaciones que supone la aprobación de la “Ley Crea y Crece”; tales como, la reducción del capital mínimo a 1 euros en las sociedades de responsabilidad limitada (SRL) para su constitución, la eliminación del Régimen en Formación Sucesiva y del Régimen de la Sociedad Limitada Nueva Empresa y el fuerte control y mejoras que ha hecho para intentar luchar contra la morosidad

In this current work, a study will be carried out on the new Law 18/2022, of September 28, on the Creation and Growth of Companies, or also known as the "Create and Grow Law", we will see the present and various modifications that it has brought to try to promote the creation of companies, facilitating and eliminating economic and bureaucratic obstacles and creating a greater security framework against late payment. Before getting into the subject of the "Create and Grow Law" we will look at social capital, the valuable function it fulfills, as well as its principles, with minimum capital being a very important pillar of one of the new amendments brought about by Law 18/2022. The updates brought about by the approval of the "Create and Grow Law" will be detailed and emphasized; such as, the reduction of the minimum capital to 1 euros in limited liability companies (LLCs) for their incorporation, the elimination of the Regime in Successive Formation and the Regime of the New Company Limited Company and the strong control and improvements that have been made to try to fight against late payments
