Ley de Sociedades de Capital : Igualdad de género en los consejos de administración del IBEX-35

Abstract

Resumen: En este trabajo vamos a realizar un estudio sobre la igualdad de género dentro de los consejos de administración del IBEX-35 en el marco de la legislación societaria española principalmente la Ley de Sociedades de Capital y las recomendaciones de la CNMV en su Código de Buen Gobierno de las sociedades cotizadas. Iniciaremos con una introducción histórica sobre la Ley de Sociedades de Capital explicando qué fue lo que llevó a la necesidad de unificar la legislación societaria española dentro de una sola Ley, haremos una breve explicación sobre los tipos de sociedades en España y las diferencias entre cotizadas y no cotizadas. Después nos adentraremos en los consejos de administración, su composición, sus funciones, los distintos tipos de integrantes del consejo junto con sus obligaciones y requisitos y más adelante hablaremos sobre las comisiones especializadas que forman y sus tareas a realizar junto con las recomendaciones de la CNMV para el buen funcionamiento de estas, así como de las retribuciones de los consejeros. Y para finalizar realizaremos un estudio sobre la representación femenina en las compañías del IBEX-35 durante los últimos 5 años y en la actualidad. ¿Se están cumpliendo las cuotas de género propuestas por la CNMV y la Ley de Igualdad? ¿Estamos estando a la altura en cuanto a paridad de género dentro de los consejos de administración y alta dirección? ¿O seguimos enrocados en un sistema donde las mujeres no caben en los puestos de mando y siguen siendo cosas de hombres?

Abstract: In this paper we are going to carry out a study on gender equality within the boards of directors of the IBEX-35 within the framework of Spanish corporate legislation, mainly the Capital Companies Act and the recommendations of the CNMV in its Code of Good Governance of listed companies. We will begin with a historical introduction to the Capital Companies Act explaining what led to the need to unify Spanish corporate legislation within a single law, we will make a brief explanation of the types of companies in Spain and the differences between listed and unlisted companies. Then we will go into the boards of directors, their composition, their functions, the different types of board members together with their obligations and requirements and later we will talk about the specialized committees that they form and their tasks to be performed together with the recommendations of the CNMV for the proper functioning of these, as well as the remuneration of directors. And finally, we will carry out a study on female representation in IBEX-35 companies over the last 5 years and at present. Are the gender quotas proposed by the CNMV and the Equality Law being complied with? Are we keeping up with gender parity within the boards of directors and senior management? Or are we still entrenched in a system where women do not fit in management positions and where they continue to be men's business?
