Retribución de los miembros del consejo de administración de una sociedad de capital: la teoría del doble vínculo

Abstract

RESUMEN: En “RETRIBUCIÓN DE LOS MIEMBROS DEL CONSEJO DE ADMINISTRACIÓN DE UNA SOCIEDAD DE CAPITAL: LA TEORÍA DEL DOBLE VÍNCULO”, se ha abordado, la ya manida problemática de la retribución de los consejeros ejecutivos. Se empieza este estudio con una importante mirada al pasado, para entender los antecedentes de la situación actual, así como el nacimiento de la teoría del vínculo. Posteriormente se hace hincapié en la Ley 31/2014, que reforma el sistema retributivo de los consejeros ejecutivos añadiendo una diferenciación relativamente clara entre consejeros ejecutivos y deliberativos, así como un sistema retributivo diferenciado. Para finalizar se detiene el trabajo, en analizar detenidamente la STS 26-2-18 y la reacción de la doctrina crítica y mayoritaria. Sentencia que se retrotrae a los principios emanados en la famosa teoría del vínculo.

ABSTRACT: In “REMUNERATION OF THE MEMBERS OF BOARD OF DIRECTORS: ANALYSIS OF THE CURRENT SITUATION OF THE «DOUBLE LINK THEORY»”, the already problematic debate of the remuneration of executive directors has been addressed. This study begins with an important look at the past, to understand the background of the current situation, as well as the birth of the «Link theory». Later, emphasis is placed on Law 31/2014, which reforms the remuneration system of executive directors by adding a relatively clear differentiation between executive and deliberative directors, as well as a differentiated remuneration system. Finally, the essay is stopped, in carefully analyzing the STS 26-2- 18 and the reaction of the critical and majority doctrine. Judgment that goes back to the principles emanated in the famous «Link theory ».
